User Agreement

This Wayrobo User Agreement (the "Agreement") is entered into between you (or the "User") and WAYROBO PTE. LTD. (" Wayrobo "or" We "). Agreements relating to the use of the Wayrobo website (wayrobo.com), Wayrobo Mobile Apps (" Wayrobo App ") and other Wayrobo products and services (collectively, the "Wayrobo Products and Services").
You are requested to read and fully understand this Agreement, in particular the provisions in bold to release or mitigate Wayrobo's liability.
1. Acknowledgment and Acceptance
WAYROBO PTE. LTD. (“WAYROBO”) provides the use of this WAYROBO APP to you, conditioned upon your acceptance without modification of the following terms and conditions. Please review these Terms and Conditions carefully. By using this APP, you are agreeing to these Terms and Conditions. If you do not agree or do not wish to abide by these Terms and Conditions, you may not use this APP.
2. Service Scope
2.1 We give you a personal, non-transferable, non-sublicensible, non-exclusive, revocable license to use Wayrobo Products and Services.
2.2 We provide you with a variety of robot products and related services. You can bind the Wayrobo robot to the Wayrobo App and use the Wayrobo App to provide you with robot data, work records, analytics, and remote control functions and other services. Specific functions include:
Wayrobo Account (" Account ") Registration and login: In order to manage your robot data and use the Wayrobo App, you must contact us to request a Wayrobo account.
• Information display: You can understand and obtain Wayrobo related information through Wayrobo products and services, such as product introduction, comparison, brand story, service support, etc.
• Wayrobo Device management: The Wayrobo App connects to your Wayrobo device for data reading and data synchronization, and allows you to manage and remotely control connected Wayrobo devices.
• Robot data and status: Wayrobo App can view the real-time parameters and status of the robot device you bind, and timely understand the operation and working status of the device.
• Robot work data logging: The Wayrobo App can record and replay your work record track data to help you better understand your robot's work performance.
• Other features that Wayrobo will add in the future.
2.3 Wayrobo reserves the right to adjust, change or suspend the scope and content of our services within the scope permitted by law for any reason such as its own business decisions, system updates, etc., including regular or irregular maintenance of Wayrobo products and services without prior notice. You fully acknowledge this right of Wayrobo and will not claim any compensation against Wayrobo in this respect.
3. Use of WAYROBO APP Intended for Users 18 Years of Age or Older
The WAYROBO APP is intended for use strictly by individuals 18 years of age or older. The WAYROBO APP is not directed for use by children under the age of 18.
4. Service Fee
4.1 Wayrobo Products and Services may include paid services, free services, and services that are not currently charged (but may continue to be charged for subsequent use), subject to Wayrobo's announcement on Wayrobo Products and Services. If you use the paid services in Wayrobo's products and services, you shall pay the relevant fees in accordance with the billing standards and methods published on Wayrobo's products and services in order to continue to use the relevant services.
4.2 Wayrobo products and services may modify or change the charging standards and methods of paid services based on the actual situation of business development, or start charging for free services or temporarily free services. Prior to the aforementioned modifications, changes, or commencement of charges, Wayrobo will notify or announce on Wayrobo's products and services. If you refuse to pay at that time, you will not be able to continue using the paid features of those Wayrobo products and services.
5. User Usage Guidelines
5.1 Unless otherwise agreed by Wayrobo with you, you may not copy, change, modify, connect to or create any derivative works from Wayrobo Products and Services or related data and/or content generated during operation in any way, these methods include, but are not limited to, the use of plug-ins, add-on or unauthorized third-party tools/services to access Wayrobo products and services and related systems. If you need commercial sales, copy and use Wayrobo products and services, such as software pre-installation and bundling, you must obtain Wayrobo's prior written authorization and license.
5.2 Due to the restrictions on the platforms and devices applicable to Wayrobo products and Services, you may only use Wayrobo products and Services on platforms and devices that are legally and effectively authorized by Wayrobo, and you must select the version of the application that matches the installed platform and devices. If you install Wayrobo products and services on other unauthorized platforms and terminal devices, it may cause damage to your hardware or software functionality. Wayrobo shall not be liable for any adverse consequences such as loss and incompatibility.
5.3 You are responsible for your online behavior, including all the content you post and upload. You must undertake that your actions and any content posted on Wayrobo's products and services are in accordance with the laws, regulations and rules of the Singapore and our rules. We reserve the right to remove any non-compliant content posted by you without any liability. In the process of using our products and services, you shall not publish or reprint any of the following content:
• violates the fundamental principles established by the Constitution;
• Endangering national security, leaking state secrets, subverting state power or undermining national unity;
• Harm the honor and interests of the state;
• inciting ethnic hatred, ethnic discrimination and undermining national unity;
• sabotages national religious policies and promotes cults and feudal superstitions;
• Spreading rumors, disturbing social order and undermining social stability;
• Disseminating obscenity, pornography, gambling, violence, terror or instigation of crime;
• Insulting or defaming others, infringing upon the legitimate rights and interests of others;
• Inciting illegal assembly, association, procession, demonstration or gathering a crowd to disturb social order;
• Computer viruses and other harmful data endanger the security of computer information systems;
• Contains other contents prohibited by laws, regulations and rules.
5.4 You fully understand and agree that: When a third party believes that the content you post or upload infringes its legitimate rights or interests, or the effective legal documents of the national administrative and judicial authorities confirm that the content you post or upload is illegal or infringing, or we believe that the content you post or upload violates the provisions of national laws and regulations or is suspected of violating the terms of this Agreement based on our own judgment, we reserve the right to delete relevant information and/or take relevant actions against you in accordance with this Agreement at our sole discretion, and to publicize your suspected violation/breach of contract and the actions taken against you on Wayrobo products and Services.
5.5 When you use our products and services, you agree to comply with the following provisions:
• All behaviors you perform and the content you post and upload shall comply with the provisions and requirements of national laws, regulations and other normative documents and our rules, and shall not violate the public interest or public morality, harm the legitimate rights and interests of others, and violate the relevant rules of this Agreement;
You will not attempt to gain unauthorized access to any of our content or use any Wayrobo products and services by hacking, password cracking or any other illegal means;
You may not develop, support or use software, equipment, scripts or any other means or process (including crawlers, browser plug-ins or any other technical or human work) to access or otherwise copy user information and other data from Wayrobo Products and Services;
You will not copy or alter all or part of the Wayrobo products and Services, or otherwise use the Wayrobo Products and Services by distributing, licensing, leasing, selling, reselling, transferring, or otherwise using the Wayrobo Products and Services;
You will not trace, reverse search, decrypt, decipher any of our users' information or any Wayrobo device information;
• You will not use Wayrobo products and services for commercial purposes without Wayrobo's consent;
• You will not use Wayrobo products and Services to damage, disable, impair, or compromise Wayrobo products and services, systems, or their security, or overload them, or intentionally spread malware and viruses, or do any other act that may compromise the security of Wayrobo software, systems, or networks;
You will not use any device, software or program that interferes or attempts to interfere with the proper working of the Wayrobo products and Services or any transactions conducted in the Wayrobo Products and Services or the normal use of the Wayrobo Products and Services by others.
6. Intellectual Property Rights
All contents, text, images, data, information and other material displayed, available or present on APP, including any trademarks or copyrights, are the property of WAYROBO or the designated owner and are protected by applicable intellectual property laws. You agree not to infringe upon or dilute any intellectual property of WAYROBO, as well as not to remove or modify any trademark, copyright or other proprietary notice appearing on this APP. You are not allowed to link to, reproduce, sell, publish, distribute, modify, or display this APP or any Content without the prior written permission of WAYROBO.
7. Limitation of Liability and Disclaimers
Any and all content appearing on this APP is provided for informational purposes only. Any product of WAYROBO and/ or its affiliated companies are subject to the standard warranty of WAYROBO and/or its affiliated companies and other terms and conditions of sale in the sales agreement between WAYROBO and the purchaser. This APP, its content and its links are provided on an “As Is”, “As Available” basis and are used only at your sole risk, to the fullest extent permissible by law. WAYROBO and its affiliated companies disclaim all warranties, express or implied, of any kind, regarding this APP (including its content, hardware, software and links), including as to fitness for a particular purpose, merchantability, title, non-infringement, results, accuracy, completeness, accessibility, compatibility, security and freedom from computer virus. WAYROBO and its affiliated companies will not be liable for any damages or losses, including direct, indirect, consequential, special, incidental or punitive damages and/or lost profits, in connection with use of the Internet, this APP, it content or its links. Moreover, in some states, there are restrictions on the use of robot. It is your responsibility to ensure that any products advertised on this APP and subsequently purchased by you can be legally used or operated in your state or community. WAYROBO shall not be responsible for, and disclaims any and all liability which may arise from, your failure to comply with and such state or local laws and/or restrictions.
8. Indemnification
You will defend, indemnify and hold harmless WAYROBO and its affiliates, officers, directors, employees and contractors from any demands, claims, damages, liabilities, expenses or harms, including attorneys fees, arising in connection with your use of this APP, online conduct, breach of these Terms and Conditions or dealings or transactions with other persons resulting from use of this APP.
9. Term, rescission and termination
9.1 You may choose to cancel your Wayrobo account, at which time this Agreement will terminate on its own, provided that all obligations under the Agreement between you and us have been fulfilled. We reserve all the rights to pursue corresponding legal responsibilities to you in accordance with the provisions of this Agreement and laws and regulations.
9.2 If you violate the relevant laws and regulations or the provisions of this Agreement when using Wayrobo products and services, we have the right to unilaterally terminate this Agreement and/or take the following measures:
• Delete or block your account or related information;
• Discontinue or limit your use of some or all of Wayrobo's products and services, and stop providing related products and services to you;
• Cancel your Wayrobo account and reserve the right to prohibit you from applying for or otherwise obtaining a new Wayrobo account;
• Pursue your legal responsibility according to law.
9.3 When Wayrobo has a major business adjustment or other matters deemed necessary by Wayrobo, Wayrobo has the right to terminate this Agreement and stop providing Wayrobo related products and services to you by written notice, public notice or other reasonable means in accordance with the procedures required by law.
9.4 Wayrobo has the right to terminate this Agreement in whole or in part if Wayrobo's products and services may be interrupted or terminated due to changes in laws and regulations or regulatory requirements of competent authorities, breach of contract by product and service terminal manufacturers or service providers, or interruption or termination of cooperation. You understand that Wayrobo will not be able to give you prior notice in such circumstances, and you agree not to hold Wayrobo liable for any breach of contract.
9.5 After the termination of this Agreement, we have the right to retain your registration information and other data in accordance with the requirements of laws and regulations, but we shall not undertake the obligation to provide any data information to you or any third party at your request after the termination of this Agreement, we do not need to continue to provide any services to you, and we shall not be liable to you or any third party for the termination of this Agreement. Except as otherwise provided by laws and regulations.
9.6 User agrees that User shall not transfer the rights and obligations under this Agreement to any third party unless prior written consent of Wayrobo is obtained; However, Wayrobo reserves the right, in its sole discretion, to transfer all or part of the rights and obligations under this Agreement to our affiliates, at which time Wayrobo will give you notice of such transfer as set forth in this Agreement.
10. Notification and Delivery
10.1 Wayrobo may deliver all notifications to you through one or more methods, such as page announcements, emails, notifications of Wayrobo products and services, mobile text messages, or paper letters; Such information shall be deemed delivered at the time of transmission.

11. Applicable Law and Forum
This APP, these Terms and Conditions and any disputes arising in connection therewith shall be exclusively governed by and construed in accordance with the laws of Singapore, without regard to its conflicts of law principles. The courts located in Singapore shall have exclusive jurisdiction to adjudicate any dispute arising in connection with this APP or these Terms and Conditions. You agree to submit to the exclusive and personal jurisdiction of the courts located in Singapore.
12. Miscellaneous Provisions
You represent and warrant that you are authorized to enter into these Terms and Conditions on behalf of any entity which you represent. These Terms and Conditions constitute the entire agreement between the parties with respect to this subject matter and supersede any prior agreement or communication. These Terms and Conditions may only be modified by WAYROBO, at its sole discretion. If any provision of these Terms and Conditions is held to be invalid or unenforceable for any reason, then the remaining provisions will remain in full force and effect. Your obligations pursuant to these Terms and Conditions shall survive termination of this APP, any use by you of this APP and any Content, or these Terms and Conditions.
